1. Agreement to Terms

Welcome to ValidateMe. These Terms of Service ("Terms") govern your access to and use of the ValidateMe website, applications, and services (collectively, the "Service") operated by ValidateMe ("we," "our," or "us").

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Service.

If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Description of Service

ValidateMe is a software-as-a-service (SaaS) platform that enables users to create AI-generated landing pages to validate app ideas and collect email signups from interested visitors. The Service includes:

  • AI-powered landing page generation through a chat interface
  • Hosting of landing pages on subdomains (yourapp.validateme.app)
  • Email collection functionality for visitor signups
  • Analytics and reporting features
  • Custom domain support (Pro plan)

3. User Accounts

3.1 Account Creation

To use certain features of the Service, you must create an account. You may sign up using supported OAuth providers (currently Google and GitHub). You agree to:

  • Provide accurate and complete information
  • Maintain the security of your account credentials
  • Promptly notify us of any unauthorized access to your account
  • Accept responsibility for all activities that occur under your account

3.2 Account Requirements

You must be at least 13 years old to use the Service. If you are under 18, you represent that you have your parent's or guardian's permission to use the Service.

3.3 Account Termination

You may delete your account at any time through your account settings. We reserve the right to suspend or terminate your account if you violate these Terms or engage in conduct that we determine, in our sole discretion, is harmful to us, other users, or third parties.

4. Subscriptions and Payments

4.1 Free and Paid Plans

The Service offers both free and paid subscription plans:

  • Free Plan: Limited to 3 landing pages with basic features
  • Pro Plan: Unlimited landing pages with advanced features at $8/month or $69/year

4.2 Billing

For paid subscriptions, you agree to pay all applicable fees. Subscriptions are billed in advance on a monthly or annual basis. By providing payment information, you authorize us to charge your payment method for all fees incurred.

4.3 Automatic Renewal

Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. You may cancel your subscription at any time through your account settings.

4.4 Refunds

We offer a 14-day money-back guarantee for Pro subscriptions. If you are not satisfied within 14 days of your initial purchase, contact us for a full refund. After 14 days, refunds are provided at our discretion.

4.5 Price Changes

We reserve the right to change our prices. Any price changes will be communicated in advance and will not affect your current billing period.

5. User Content

5.1 Your Content

"User Content" means any content you create, upload, or display through the Service, including landing page content, text, images, and collected email addresses. You retain ownership of your User Content.

5.2 License to User Content

By submitting User Content to the Service, you grant us a worldwide, non-exclusive, royalty-free license to use, copy, process, and display your User Content solely for the purpose of providing and improving the Service.

5.3 Content Responsibilities

You are solely responsible for your User Content and agree that you will not submit content that:

  • Infringes any intellectual property or other proprietary rights
  • Is defamatory, obscene, pornographic, or offensive
  • Promotes illegal activities or violates any applicable laws
  • Contains viruses, malware, or other harmful code
  • Impersonates another person or entity
  • Violates the privacy rights of others
  • Contains spam, phishing, or misleading content
  • Promotes discrimination, hatred, or violence against any group

5.4 Content Moderation

We reserve the right to review, remove, or disable access to any User Content that violates these Terms or that we determine, in our sole discretion, is harmful or objectionable.

6. Email Collection and Privacy

6.1 Your Responsibilities

When you collect email addresses through landing pages created with the Service, you are the data controller for that information. You agree to:

  • Only collect emails with appropriate consent from visitors
  • Comply with all applicable email marketing laws, including CAN-SPAM, GDPR, and CASL
  • Provide clear information to visitors about how their email will be used
  • Honor opt-out and unsubscribe requests
  • Not use collected emails for spamming or unauthorized purposes

6.2 No Spam

You agree not to use the Service to send unsolicited commercial emails or to collect emails for spamming purposes. Violation of this provision may result in immediate account termination.

7. Prohibited Uses

You agree not to use the Service to:

  • Violate any applicable laws or regulations
  • Create landing pages for illegal products or services
  • Engage in fraudulent, deceptive, or misleading practices
  • Interfere with or disrupt the Service or servers
  • Attempt to gain unauthorized access to any part of the Service
  • Use automated means to access the Service without permission
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Remove, alter, or obscure any copyright or proprietary notices
  • Use the Service to compete with us or build a similar product
  • Resell or redistribute the Service without authorization

8. Intellectual Property

8.1 Our Intellectual Property

The Service and its original content (excluding User Content), features, and functionality are owned by ValidateMe and are protected by copyright, trademark, and other intellectual property laws.

8.2 Trademarks

"ValidateMe" and our logo are trademarks of ValidateMe. You may not use our trademarks without prior written permission, except to identify your use of the Service.

8.3 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us the right to use that feedback without restriction or compensation to you.

9. AI-Generated Content

The Service uses artificial intelligence to generate landing page content based on your inputs. You acknowledge that:

  • AI-generated content may not be perfect and may require review and editing
  • You are responsible for reviewing and approving all content before publishing
  • We do not guarantee the accuracy, completeness, or appropriateness of AI-generated content
  • AI-generated content should not be used for medical, legal, or financial advice

10. Third-Party Services

The Service integrates with third-party services, including authentication providers, payment processors, and analytics services. Your use of these services is subject to their respective terms and privacy policies. We are not responsible for the actions or content of third-party services.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, secure, or error-free, that defects will be corrected, or that the Service is free of viruses or other harmful components.

We do not guarantee any specific results from using the Service, including the success of your app ideas or the number of email signups you will receive.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL VALIDATEME, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your access to or use of or inability to access or use the Service
  • Any conduct or content of any third party on the Service
  • Any content obtained from the Service
  • Unauthorized access, use, or alteration of your transmissions or content

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM, OR $100, WHICHEVER IS GREATER.

13. Indemnification

You agree to defend, indemnify, and hold harmless ValidateMe and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with:

  • Your access to or use of the Service
  • Your User Content
  • Your violation of these Terms
  • Your violation of any third-party rights, including intellectual property or privacy rights
  • Your collection and use of visitor email addresses

14. Modifications to Service and Terms

14.1 Service Modifications

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

14.2 Terms Modifications

We may revise these Terms from time to time. We will notify you of material changes by posting the updated Terms and updating the "Last updated" date. Your continued use of the Service after such changes constitutes your acceptance of the revised Terms.

15. Governing Law and Dispute Resolution

15.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

15.2 Dispute Resolution

Any dispute arising from or relating to these Terms or the Service shall first be attempted to be resolved through informal negotiation. If the dispute cannot be resolved informally within 30 days, either party may pursue binding arbitration or file a claim in small claims court.

15.3 Class Action Waiver

YOU AGREE THAT ANY CLAIMS MUST BE BROUGHT IN YOUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

16. General Provisions

16.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and ValidateMe regarding the Service and supersede all prior agreements.

16.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

16.3 Waiver

Our failure to enforce any right or provision of these Terms shall not be considered a waiver of those rights.

16.4 Assignment

You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign our rights and obligations under these Terms without restriction.

16.5 Force Majeure

We shall not be liable for any failure or delay in performing our obligations due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, strikes, or government actions.
